The terms below (“Terms”) govern your relationship with The Regents of the University of California (“University”), by and on behalf of its campus in Los Angeles (“we,” “us,” “our”), if you choose to upload, post, send or otherwise submit content on technology that we operate, or on a site, platform or other technology operated by someone else (e.g., SnapChat, Instagram, Twitter, etc.), in response to UCLA’s social media, social networking, online engagement or other digital media campaign (collectively, our “Digital Campaign”).
Your Participation is Your Agreement with These Terms
If you choose to participate in our Digital Campaign, including but not limited to submitting, uploading or posting (“Submit” or “Submitting”) any comment, essay, writing, photograph, video, footage, recordings, artwork, music or other content, including your Image (defined below) (collectively “Content”), you are agreeing to these Terms. Content may feature your image, name, user name, likeness, voice, performance, avatar, emoji and/or other information (collectively, your “Image”).
Your Participation is Voluntary
You understand and agree that your participation in our Digital Campaign is completely voluntary, and that you are free to choose not to participate. If you do not want to participate in the Digital Campaign, or if you do not agree with these Terms, please refrain from Submitting any Content.
License to University
By Submitting the Content, you are granting to University and University’s officers, agents, employees, vendors, licensees and assignees (collectively, “University Parties”) a broad, non-exclusive and royalty-free license to use, post, repost, reproduce, sublicense, send, transmit, copy, edit, exhibit, publish, broadcast, archive, create derivative works based upon, and/or distribute (“Use”) the Content (including your Image) in any and all media and using any and all technology (either, whether existing now or invented later), anywhere in the world, in perpetuity. If, when and/or whether to Use the Content in connection with the Digital Campaign is within University’s sole decision.
Consideration
Your decision to participate in our Digital Campaign, and the personal benefits that went along with that decision at the time that you made it, are good and sufficient consideration to make these Terms binding on you, your legal representatives, heirs, successors and assigns (“Your Parties”). You understand that University will not pay you or Your Parties to Use the Content.
Important Representations and Warranties
You represent, warrant and confirm that: • You are at least 18 years old (or if you are under 18, you have obtained your parent’s consent). • You are fully of age, and have the capacity and right to agree to these Terms. • You are the sole owner of the copyright in the Content. • The Content is original to you. • You have the full right and lawful authority to Submit the Content in response to our Digital Campaign and to license the Content to University Parties. • You have obtained all necessary third party approvals (e.g., from other people featured in the Content, or the owners of any artwork, music, logos or other property in the Content), and that the approvals allow (i) you to grant this license, and (ii) University Parties to Use the Content. • You will sign any and all documents and take all steps necessary to maintain, enforce and defend your rights to the Content, and the license granted to University Parties, at no cost to any University Party.
Legally Binding
You understand and agree that these Terms will be binding upon you and Your Parties. The Terms are governed by, construed, and enforced in accordance with the laws of the U.S. State of California without regard to conflict of law principles. You agree to be subject to the jurisdiction of the U.S. federal and state courts located in Los Angeles County, California.
Release and Indemnity
You agree to release, forever discharge and hold harmless the University Parties from and against any and all claims and demands, including, but not limited to, any and all claims for violation of rights of publicity, invasion of privacy, libel, defamation, or copyright infringement.
You also agree to defend and indemnify the University Parties against any and all claims, demands, suits, actions, proceedings, recoveries, or expenses of any nature whatsoever, including but not limited to those arising from any claim of infringement of copyright or proprietary rights resulting from any Use of the Content, or claims of libel, obscenity, unlawfulness, invasion of privacy or other injury, based on or arising out of any matter or thing contained in the Content or any breach of your representations and warranties provided in these Terms.
